DigiVerse Terms & Conditions (End User License Agreement)

Welcome to DigiVerse.

These Terms & Conditions ("Terms", "Agreement") govern your access to and use of the DigiVerse mobile application, web application, website, APIs, software, AI services, and related products ("Platform").

DigiVerse is owned and operated by DigiRich, a sole proprietorship business ("DigiRich", "Company", "we", "our", or "us").

By creating an account, accessing, downloading, installing, or using DigiVerse, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

1. Introduction

Welcome to DigiVerse.

These Terms & Conditions govern your access to and use of the DigiVerse mobile application, web application, website, APIs, software, AI services, and related products ("Platform").

DigiVerse is owned and operated by DigiRich, a sole proprietorship business.

By creating an account, accessing, downloading, installing, or using DigiVerse, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

2. Eligibility

To use DigiVerse, you must:

  • Be at least 18 years of age.
  • Have the legal authority to enter into this Agreement.
  • Provide accurate and complete registration information.
  • Use the Platform only for lawful business purposes.

Businesses registering on behalf of an organization confirm that they are authorized to act on behalf of that organization.

3. License

Subject to these Terms, DigiRich grants you a limited, non-exclusive, non-transferable, revocable license to access and use DigiVerse solely for your internal business purposes.

This license does not transfer ownership of the Platform or any intellectual property.

4. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities performed using your account.
  • Ensuring that your account information remains accurate and up to date.

You must notify DigiRich immediately if you suspect unauthorized access to your account.

5. Platform Features

Depending on your subscription plan or assigned permissions, DigiVerse may provide access to one or more of the following features:

  • CRM
  • Lead Management
  • Analytics
  • Team Collaboration
  • WhatsApp Business Integration
  • Facebook Integration
  • Instagram Integration
  • AI Content Generation
  • AI Chatbot Builder
  • DigiFlow Automation
  • DigiSocial
  • DigiMail
  • DigiForms
  • DigiFlip
  • Wallet
  • Hiring Management
  • File Storage
  • Notifications
  • Additional tools introduced from time to time.

Feature availability may vary depending on your subscription plan, account permissions, and future platform updates.

6. User Responsibilities

By using DigiVerse, you agree that you will not:

  • Use DigiVerse for illegal or unauthorized purposes.
  • Send spam or unsolicited communications.
  • Upload malicious software, viruses, or harmful code.
  • Attempt unauthorized access to any account, server, or system.
  • Copy, reverse engineer, modify, or redistribute the Platform.
  • Use the Platform to infringe any intellectual property rights.
  • Misrepresent your identity or business.
  • Interfere with the operation, security, or performance of DigiVerse or its services.

You are solely responsible for all content, customer information, campaigns, files, communications, and other materials created, uploaded, or managed through your account.

7. Third-Party Integrations

DigiVerse integrates with various third-party platforms, including but not limited to:

  • Meta
  • Facebook
  • Instagram
  • WhatsApp Business Platform
  • Google
  • Google Ads
  • Payment Gateway Providers
  • Email Service Providers
  • Cloud Hosting Providers
  • Artificial Intelligence Service Providers

These third-party services operate under their own terms, conditions, and privacy policies.

DigiRich is not responsible for outages, service interruptions, API limitations, policy changes, account suspensions, or any actions taken by these third-party providers.

8. AI Services

DigiVerse provides AI-powered tools designed to assist users with business operations and productivity.

AI-powered features may include:

  • Email Writing
  • Caption Generation
  • Marketing Content Creation
  • Business Suggestions
  • Workflow Recommendations
  • AI Chatbot Responses
  • Automation Assistance
  • General Content Generation

AI-generated content is provided solely for informational and productivity purposes.

Users are solely responsible for reviewing, editing, verifying, and approving all AI-generated content before using, publishing, distributing, or relying upon it.

DigiRich does not guarantee the accuracy, legality, completeness, reliability, or suitability of any AI-generated output.

9. WhatsApp, Email & Communication Services

Where communication features are enabled, users agree that:

  • They will comply with all applicable laws and platform policies.
  • They are responsible for obtaining all necessary customer permissions and consents.
  • They are fully responsible for the content of all communications sent through DigiVerse.
  • DigiVerse is not liable for delivery failures caused by third-party communication providers.

Spam, phishing, fraudulent communications, misleading messages, or any unlawful communications are strictly prohibited.

Violation of these requirements may result in the immediate suspension or permanent termination of your account without prior notice.

10. Data Ownership

You retain full ownership of the data you upload, create, or manage through DigiVerse, including but not limited to:

  • Customer Information
  • Uploaded Files
  • Business Content
  • Marketing Materials
  • Forms
  • Documents
  • Campaigns

DigiRich does not claim ownership of your business data.

However, by using DigiVerse, you grant DigiRich a limited, non-exclusive license to host, process, store, display, transmit, and otherwise use your information solely for the purpose of providing, maintaining, securing, and improving the Services.

11. Intellectual Property

All rights, title, and interest in DigiVerse, including but not limited to the following, remain the exclusive property of DigiRich and its licensors:

  • Software
  • Source Code
  • User Interface
  • Designs
  • Logos
  • Branding
  • Documentation
  • Features
  • AI Systems
  • Automation Workflows

No ownership rights or intellectual property rights are transferred to users through the use of the Platform.

12. Wallet & Payments

Where applicable, DigiVerse may provide wallet and payment functionality.

Users acknowledge and agree that:

  • Wallet balances may only be used for eligible DigiVerse or DigiRich services.
  • Wallet balances are non-transferable unless otherwise required by applicable law.
  • Prices, subscription fees, and service charges may change without prior notice.
  • Applicable taxes will be charged where required by law.
  • Failed, disputed, reversed, or fraudulent payments may result in suspension or termination of services.

13. Subscription Plans

Certain DigiVerse features may require an active paid subscription.

Subscription fees:

  • Are billed according to the selected subscription plan.
  • Are non-refundable unless expressly stated otherwise.
  • May change with reasonable prior notice.

Failure to pay applicable subscription fees may result in suspension, restriction, or termination of access to paid features and services.

14. Availability

While DigiRich strives to maintain high service availability, we do not guarantee uninterrupted or error-free access to DigiVerse.

The Platform may occasionally experience:

  • Scheduled Maintenance
  • Software Upgrades
  • Third-party Service Outages
  • Technical Failures
  • Internet or Network Disruptions

Such events shall not constitute a breach of these Terms and Conditions.

15. Backups

DigiVerse performs regular system backups to help maintain platform reliability.

However, users are strongly encouraged to maintain independent backups of all important business information, files, documents, customer records, and other critical data.

DigiRich shall not be responsible for any loss of data resulting from:

  • User Actions
  • Third-party Service Failures
  • Force Majeure Events
  • Hardware Failures
  • Circumstances Beyond Our Reasonable Control

16. Security

DigiRich is committed to maintaining the security and integrity of the DigiVerse Platform.

Users must not attempt to:

  • Bypass or disable security measures.
  • Access accounts, systems, or data without authorization.
  • Perform penetration testing, vulnerability scanning, or security testing without prior written authorization.
  • Interfere with the integrity, availability, or performance of the Platform.
  • Use automated tools, bots, scripts, or software that may negatively impact the Platform or other users.

Accounts involved in suspicious, fraudulent, or malicious activities may be suspended, restricted, or permanently terminated without prior notice.

17. Suspension & Termination

DigiRich reserves the right to suspend, restrict, or terminate access to DigiVerse at its sole discretion if a user:

  • Violates these Terms and Conditions.
  • Engages in unlawful or fraudulent activities.
  • Abuses or misuses the Platform.
  • Misuses AI-powered features.
  • Attempts to circumvent subscription limitations or payment obligations.
  • Harms the Platform, its users, or DigiRich.

Termination or suspension does not relieve users of any outstanding payment obligations or liabilities incurred before termination.

18. Disclaimer of Warranties

DigiVerse is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by applicable law, DigiRich disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Merchantability
  • Fitness for a Particular Purpose
  • Non-Infringement
  • Accuracy
  • Reliability
  • Availability

DigiRich does not guarantee that:

  • The Platform will operate without interruption.
  • The Platform will be error-free.
  • AI-generated responses will always be accurate or suitable.
  • Third-party integrations will always remain available.
  • Reports, analytics, or automation services will always function without interruption.

Users acknowledge that use of the Platform is entirely at their own risk.

19. Limitation of Liability

To the fullest extent permitted under applicable law, DigiRich shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of DigiVerse.

This includes, but is not limited to:

  • Loss of Profits
  • Loss of Revenue
  • Loss of Business Opportunities
  • Loss of Customers
  • Loss of Goodwill
  • Data Loss
  • Business Interruption
  • Loss resulting from third-party service failures

In all circumstances, DigiRich's total aggregate liability arising from or relating to these Terms shall not exceed the total amount actually paid by the user to DigiRich for DigiVerse services during the twelve (12) months immediately preceding the event giving rise to the claim.

20. Indemnification

You agree to indemnify, defend, and hold harmless DigiRich, its proprietor, employees, contractors, affiliates, licensors, service providers, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising out of or relating to:

  • Your use of DigiVerse.
  • Your violation of these Terms and Conditions.
  • Your violation of any applicable law or regulation.
  • Any content, files, communications, or information uploaded or transmitted through your account.
  • Your infringement of any third-party intellectual property, privacy, or other legal rights.
  • Your negligent, fraudulent, or unlawful conduct.

This indemnification obligation shall survive the suspension or termination of your account and your use of the Platform.

21. Changes to the Platform

DigiRich reserves the right to modify, update, enhance, suspend, or discontinue any part of the DigiVerse Platform, including features, modules, pricing, integrations, or services, at any time.

These changes may be made to improve performance, introduce new functionality, comply with legal requirements, address security concerns, or enhance the overall user experience.

We will make reasonable efforts to notify users of significant changes where required by applicable law.

22. Changes to these Terms

DigiRich may revise these Terms & Conditions from time to time.

Updated Terms become effective immediately upon publication on the DigiVerse website or within the Platform unless otherwise stated.

Your continued access to or use of DigiVerse after any changes become effective constitutes your acceptance of the revised Terms.

If you do not agree with the updated Terms, you must discontinue use of the Platform.

23. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of DigiVerse shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.

25. Entire Agreement

These Terms & Conditions, together with the Privacy Policy and any additional policies, notices, or agreements referenced within the Platform, constitute the entire agreement between you and DigiRich regarding your use of DigiVerse.

They supersede all prior discussions, communications, understandings, representations, and agreements, whether written or oral, relating to the Platform.

Acceptance

By downloading, installing, accessing, registering for, or using DigiVerse, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and the Privacy Policy.
