Terms and Conditions for Social Media Management and Optimization:
Validity:
The quotation for social media management and optimization services is valid for 1 month from the commencement date.
Change Request (CR):
Any aspect not explicitly covered in the quotation will be considered a part of an additional or change in scope, requiring a new change request.
Advance Payments:
50% advance payment is required for all identified change requests related to social media management and optimization.
External Paid Tools:
The client will bear the additional cost of any external paid tools required for social media management and optimization.
Content Approval and Posting:
The client is responsible for providing timely approval for social media content. Posting will be scheduled as per the agreed content calendar.
Performance Metrics:
DIGI RICH will provide regular reports on social media performance metrics, including reach, engagement, and conversions.
Ad Campaigns:
If ad campaigns are included in the social media management service, the client will bear the cost of ad spend, which will be separate from the service fee.
Off-Site Project Execution:
The social media management and optimization services will be executed off-site from DIGI RICH’s office premises in Mumbai, India.
Working Days and Hours:
Working days for social media management are Monday to Friday, following Indian public holidays. Standard working hours during the project phase are 11:00 am to 06:00 pm IST (GMT + 05:30).
Account Security Measures:
DIGI RICH reserves the right to change the account password associated with the client’s social media accounts in the event of suspected hacking, breach, or suspicious/malicious activity. It is understood that prompt action is necessary to safeguard the client’s account and prevent potential loss or harm. Therefore, DIGI RICH may undertake such actions without prior permission from the client, as waiting for permission may result in detrimental consequences for the client’s account.
Non-Payment Clause:
In the event of the client failing to remit the agreed-upon payments within the specified time frame, DIGI RICH reserves the right to take necessary actions to recover the outstanding dues. This includes, but is not limited to, withholding services, discontinuing services, and initiating legal proceedings to recover the outstanding amounts.
Furthermore, if the client fails to make payment for the services rendered, and if social media accounts have been created or managed by DIGI RICH on behalf of the client, DIGI RICH reserves the right to take control of these accounts until such time as the outstanding payments have been made in full.
It is imperative to note that while DIGI RICH reserves the right to assume control of social media accounts in the event of non-payment, it is not the intention to misuse or engage in any unauthorized activities through these accounts. The sole purpose of assuming control is to secure DIGI RICH’s interests until the outstanding payments are settled. Once the agreed-upon payments have been received, DIGI RICH will initiate the complete handover procedure of the social media accounts to the client, ensuring full control and ownership are restored.
Limitation of Liability:
DIGI RICH is not liable for direct or indirect damages. The maximum liability is limited to the total fees paid for services.
Ownership:
The deliverables are the intellectual property of the client upon full payment.
Terms and Conditions for Advertising Services:
Services Offered:
DIGI RICH provides customized paid advertising strategies on platforms such as Google Ads and social media, encompassing the creation, optimization, and management of ad campaigns aimed at achieving maximum reach and conversions.
Client Responsibilities:
The client agrees to provide necessary access to advertising accounts and relevant information. Collaboration on ad creatives, targeting options, and budgets is essential for the successful execution of the advertising campaigns.
Payment Terms:
Fees for the advertising services will be as per the agreed proposal or contract. Full prepayment is required before the commencement of any ad campaigns. Payments are due as per the agreed schedule outlined in the proposal or contract.
Performance and Results:
While DIGI RICH endeavors to achieve success, it is important to note that specific outcomes cannot be guaranteed. The success of ad campaigns is contingent upon various factors including targeting, competition, and market conditions.
Confidentiality:
Both parties agree to maintain the confidentiality of shared information. Any anonymous data collected may be used for reporting and analysis purposes.
Intellectual Property:
All rights to develop creatives and strategies belong to DIGI RICH. The client is not authorized to use or modify any intellectual property without prior written consent from DIGI RICH.
Termination:
Either party may terminate the agreement with written notice, subject to the terms outlined in the contract. Termination of the agreement does not relieve the client of outstanding payment obligations accrued up to the termination date.
Limitation of Liability:
DIGI RICH shall not be liable for any direct or indirect damages incurred by the client. The maximum liability of DIGI RICH is limited to the total fees paid by the client for the services rendered.
Governing Law and Jurisdiction:
This Agreement is governed by the laws of the jurisdiction in which DIGI RICH operates. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Mumbai.
By engaging our services, the client acknowledges that they have read, understood, and accepted these terms and conditions governing the advertising services provided by DIGI RICH.
Terms and Conditions for Website Development Services:
Validity:
The quotation provided for website development services remains valid for a period of 1 month from the commencement date.
Change Request (CR):
Any modifications or additions not explicitly outlined in the initial quotation will be considered as changes in scope and will require submission of a new change request.
Business-Critical Modifications:
Once design features/modules are approved, any significant changes will be treated as change requests, necessitating additional time and effort.
Advance Payments:
A 75% advance payment is required for all identified change requests related to website development.
External Paid Plugins:
The client shall bear the additional cost of any external paid plugins deemed necessary for website development.
Design Iterations:
Up to 2 design iterations will be provided before finalization of the website design.
Delays in Dependencies:
In the event of delays caused by client dependencies, the DIGI RICH team reserves the right to suspend work until pending milestones are cleared.
Inactive Project Team:
A website development project will be deemed inactive if client responses result in delays exceeding 3 weeks. In such cases, the project team may be off-boarded.
Project Re-Onboarding:
Re-onboarding the project team for an inactive website development project will incur a penalty equivalent to 20% of the total project cost.
Off-Site Project Execution:
The website development project will be conducted off-site from DIGI RICH’s office premises located in Mumbai, India.
Working Days and Hours:
Website development operations are conducted on weekdays, Monday to Friday, in alignment with Indian public holidays. Standard working hours during the project development phase are from 11:00 am to 06:00 pm IST (GMT + 05:30).
Liability Disclaimer:
DIGI RICH shall not be held liable for any consequences arising from client fault or non-payment of services, including but not limited to actions taken by DIGI RICH to suspend work, off-board the project team, or initiate legal proceedings to recover outstanding payments. The client acknowledges that any such actions taken by DIGI RICH are necessary to protect its interests and are not to be construed as a waiver of rights or obligations under the terms of the agreement.
Terms and Conditions for Digi-Bot:
Privacy and Data Protection
We value your privacy and are committed to protecting your personal information. By using Digi-Bot, you consent to the collection and use of your data in accordance with our Privacy Policy. All customer data handled by Digi-Bot will be used solely for the purpose of managing client inquiries and will not be shared with third parties without explicit consent.
Limitation of Liability
While Digi-Bot aims to provide accurate and efficient responses, we do not guarantee the completeness or accuracy of the information provided. DigiRich Services is not liable for any direct, indirect, incidental, or consequential damages arising from the use of Digi-Bot, including but not limited to lost profits, lost data, or business interruption.
Service Changes and Modifications
We reserve the right to modify or discontinue Digi-Bot, temporarily or permanently, with or without notice. This may include updates, enhancements, or modifications to improve the service. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the service.
Account Setup and Subscription
Upon agreement, Digi-Bot accounts will be set up within 15 to 20 days, depending on the project. The service is provided on a yearly subscription basis, and clients will be billed annually. Renewal fees apply each year to continue the service.
Service Warranty and Customization
During the subscription period, we offer a service warranty that includes free bug fixes and error resolution. Customization requests, such as adding or removing features, will incur additional costs as outlined in our service agreement.
Termination
We may terminate or suspend your access to Digi-Bot at any time, without prior notice or liability, for any reason, including but not limited to breach of these terms and conditions or misuse of the service.
Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the Mumbai Jurisdiction. Any disputes arising from these terms shall be resolved in the courts of Mumbai, India.

Subscription
Fees: A nominal yearly or monthly fee is required for our services.
Renewal: Subscriptions renew automatically each year unless you cancel before the renewal date.
User Responsibilities

Limitations
Proven Strategies: We use proven strategies to protect your account and aim for a high success rate. While we strive for complete security, we assure you of significant protection against threats and hacks.
No Guarantee: Although we have a high success rate, we cannot guarantee 100% recovery, as it depends on META’s final decision.
Policy Claim Eligibility
30-Day Waiting Period: The policy claim is only applicable if the policy is bought at least 30 days before an event of hack, ban, or restriction. If you buy the policy after the event, the policy will not be applicable for a claim.
Termination
By You: You can cancel your subscription at any time by contacting us.
By Us: We reserve the right to suspend or terminate your access to our services for violation of these terms or any applicable laws.
Liability
Limited Liability: DigiSecure is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
Success Rate
Policy Violations: If you engage in activities that violate META’s policies, we can only request META to recover your account, but we cannot guarantee success.
Time Constraint: Our actions may not be effective if your account has been banned for more than 45 days.
Changes to Terms
Updates: We may update these terms from time to time. We will notify you of any significant changes. Your continued use of our services after such changes means you accept the new terms.

Introduction
Welcome to the DigiRich Partner with Us program. By participating in this program, you agree to the following terms and conditions. Please read them carefully.
1. Eligibility
To join the DigiRich Partner with Us program, you must be at least 18 years old and legally authorized to work in your country of residence.
2. Independent Contractor Status
By joining our program, you acknowledge that you are participating as an independent contractor. This means:
You are not an employee, agent, or representative of DigiRich.
You have the freedom to set your own work hours and choose your work location.
You are responsible for your own taxes, insurance, and any other legal requirements.
3. No Investment Required
There is no investment or upfront cost required to join our Partner with Us program. We provide all necessary tools and training at no charge.
4. Earnings and Payments
Your earnings will be based on the structure outlined in the program details provided to you upon acceptance.
Payments will be made upon the final payment from the client after the project is closed.
You will be given access to a separate dashboard to track your referral earnings.
Payment methods and schedules will be communicated during the onboarding process.
5. Code of Conduct
As a partner, you agree to:
Act professionally and ethically in all dealings.
Comply with all applicable laws and regulations.
Avoid any activity that may harm DigiRich’s reputation or interests.
6. Confidentiality
You agree to keep all proprietary information, including but not limited to business strategies, customer lists, and financial information, confidential. This obligation extends beyond the termination of your partnership with us.
7. Termination
Either party may terminate this agreement at any time, with or without cause, by providing written notice.
Upon termination, you must return any property or materials belonging to DigiRich.
8. Limitation of Liability
DigiRich will not be liable for any indirect, incidental, or consequential damages arising out of your participation in the Partner with Us program. Our total liability under this agreement will not exceed the total amount earned by you during the three months preceding any claim.
9. Amendments
We reserve the right to amend these terms and conditions at any time. Any changes will be communicated to you in writing. Your continued participation in the program after such changes constitutes your acceptance of the new terms.
10. Governing Law
These terms and conditions are governed by the laws of India. Any disputes arising from this agreement will be resolved in the courts of Mumbai.
11. Acceptance
